Chapter 7: The Signature That Betrayed Me

For several seconds, I couldn't hear anything except the sound of my own heartbeat.

Hayes Capital.

My company.

The company I had spent fifteen years building from a small investment office into one of the most influential private investment groups in the country.

Someone inside my organization had signed an agreement allowing Carter Dynamics to acquire control of it.

I looked at Renee.

“Show me the document.””

She turned her laptop toward me.

A scanned acquisition agreement filled the screen.

The proposed transaction was worth $410 million.

Carter Dynamics would acquire a controlling interest in Hayes Capital through a combination of cash, debt instruments, and voting-right transfers.

The signature page was at the bottom.

I recognized the name immediately.

*Ethan Brooks.*

My chief financial officer.

The man who had worked beside me for eleven years.

The man who had attended my father's funeral.

The man who once promised me that he would never allow anyone to use Hayes Capital for personal gain.

I stared at his signature.

“Is this authentic?””

Renee nodded.

“The digital certificate matches his registered credentials. However, we haven't established whether he personally authorized the transaction.””

Richard leaned forward.

“Can he approve an acquisition of this size without your consent?””

“No,” I answered.

“Then the agreement is invalid.””

“Not necessarily.””

Renee enlarged the second page.

“There's a provision here claiming that Ms. Hayes delegated temporary transaction authority to Mr. Brooks six months ago.””

I frowned.

“I never signed such a delegation.””

“That's what we need to establish.””

Across the table, Samuel Whitmore suddenly looked less frightened.

He adjusted his jacket.

“Perhaps this is the misunderstanding we've been trying to explain. Your own company appears to have authorized the transaction.””

I turned toward him.

“Are you suggesting that I approved the sale of my company without knowing?””

“I'm suggesting that the documents speak for themselves.””

“Then let's read them carefully.””

I pointed toward the signature.

“Ethan Brooks has financial authority. He does not have authority to sell my controlling interest. And he certainly cannot transfer my personal voting rights.””

Samuel smiled faintly.

“Unless you granted him that authority.””

I looked at Renee.

“Freeze every transaction connected to this agreement.””

“Already initiated.””

“Contact the independent trustees. Nobody releases another dollar without my written authorization.””

She nodded.

Richard closed his folder.

“This meeting is becoming a criminal investigation.””

“It should have become one weeks ago.””

Daniel had been silent for several minutes.

Now he leaned forward.

“Nia, there's something you need to know about Ethan.””

I turned toward him.

“What?””

“He met with Brielle.””

“When?””

“Three months ago. I saw them together at a hotel in Chicago.””

My stomach tightened.

“Why didn't you tell me?””

“I thought they were discussing the Carter Dynamics investment.””

“You thought?””

He looked ashamed.

“I didn't want to interfere with your business.””

I stared at him.

“You had no problem interfering with my business when your family wanted my shares.””

He lowered his eyes.

Patricia suddenly spoke.

“Daniel, stop making this worse.””

He turned toward her.

“Mom, you knew about Northbridge. You knew about the loan. You knew Brielle was trying to take Nia's shares.””

“I was protecting you!””

“From what? Your own daughter?””

Patricia's face collapsed.

Samuel checked his watch.

“I believe this meeting should be adjourned until legal representatives can review the documents.””

“No,” I said.

He stopped.

“I'm not finished.””

I stood and faced the directors.

“Effective immediately, Hayes Capital is suspending all discretionary funding to Carter Dynamics. Any funds already committed to protected employee obligations will remain segregated. We will not punish employees for the actions of executives.””

Richard nodded.

“Understood.””

“And I want an independent investigation into every transaction involving Northbridge Strategic Partners.””

Samuel gathered his papers.

“You may regret taking this approach.””

I looked directly at him.

“I regret trusting people who believed I would never look closely.””

He walked toward the door.

Before leaving, he turned to Daniel.

“You should have stayed quiet.””

Daniel stood.

“I'm done staying quiet.””

Samuel gave him a cold look.

Then he left.

At 11:32 a.m., Renee and I were in my office reviewing the acquisition agreement.

My assistant, Laura, brought in two coffees.

“Your eleven-thirty call has been moved,” she said.

“By whom?””

“Mr. Brooks.””

I looked up.

“Ethan?””

“Yes. He said it was urgent.””

I glanced at Renee.

“Put him through.””

A moment later, Ethan's face appeared on the conference screen.

He looked composed.

Almost too composed.

“Nia,” he said.

“I heard about the situation at Carter Dynamics.””

“Then you probably know why I'm calling.””

He smiled.

“I assume it's about the acquisition proposal.””

“Did you sign it?””

“I approved a preliminary framework.””

“Did I authorize it?””

He paused.

“You delegated certain transaction powers to me.””

“Send me the document.””

His expression changed slightly.

“I'll have legal retrieve it.””

“Ethan, I asked you a simple question. Did I authorize the sale of Hayes Capital?””

He leaned back.

“Not in those exact terms.””

Renee slowly stopped typing.

I kept my voice steady.

“Then what terms did I authorize?””

Ethan looked toward someone outside the camera's view.

“Perhaps we should discuss this privately.””

“No. We're discussing it now.””

He sighed.

“Nia, the market is changing. Hayes Capital has become too dependent on your personal decision-making. Carter Dynamics offered a strategic opportunity.””

“An opportunity for whom?””

“For both organizations.””

“Who negotiated the price?””

“Carter Dynamics.””

“Who represented Hayes Capital?””

“I did.””

“And who was supposed to receive the acquisition premium?””

He hesitated.

I leaned closer.

“Ethan?””

His answer was quiet.

“A private investment vehicle.””

“What vehicle?””

He looked directly into the camera.

“Northbridge Strategic Partners.””

I felt Renee stiffen beside me.

For a moment, I couldn't speak.

Then I asked:

“Were you aware that Northbridge was controlled by Brielle Carter?””

Ethan said nothing.

“Were you aware that money connected to our investment agreement had been transferred into that company?””

He finally answered.

“I knew there were concerns about the structure.””

“Concerns?””

“Nia, you need to understand that these arrangements are complicated.””

I stood.

“No, Ethan. They're actually very simple. Someone tried to steal my company.””

His expression hardened.

“Be careful with that accusation.””

“I am being careful. That's why I'm recording this conversation.””

His eyes flicked toward the corner of his screen.

Then he smiled.

“You should look at the original delegation document before you decide who betrayed you.””

The screen went black.

Renee immediately opened the acquisition file.

“Nia…”

“What?””

She pointed to a document attached to the agreement.

The delegation form.

My name appeared at the bottom.

My signature appeared beneath it.

And the date was six months earlier.

I stared at the page.

Because I recognized the signature.

It was mine.

But I had never signed that document.

Renee enlarged the electronic certificate.

Then she whispered:

“Someone used your father's old authorization credentials.””

I looked at her.

“My father has been dead for eight years.””

She nodded.

May you like

“Exactly.””

And suddenly, the betrayal reached much further back than I had ever imagined.
