Chapter 9: The Man Who Built the Trap

Ethan lowered the phone.

For several seconds, the name seemed to have no meaning.

Richard Carter was his father's older brother. He had helped the family through difficult years, attended every major company milestone, and served as a trusted adviser to the foundation since its earliest days.

He had been at the wedding that morning.

He had hugged Ethan before the ceremony and told him that his father would have been proud.

Now Ethan wondered whether the man had been watching him walk toward the altar while knowing exactly what had been set in motion.

“Ethan: Mom, where is Uncle Richard?””

His mother's answer was immediate.

“Evelyn: He left about twenty minutes ago.””

“Ethan: Did he say where he was going?””

“No. He told me he had an important meeting.””

Ethan looked toward the ballroom entrance.

“Ethan: Don't contact him. Don't tell him we know.””

“Evelyn: Ethan, please be careful. Your uncle has been involved in the foundation's finances for a long time. If he realizes you are investigating, he may destroy whatever evidence remains.””

“Ethan: Then we need to preserve it before he gets the chance.””

He ended the call.

Olivia was already gathering the documents.

“Olivia: Richard chaired the finance committee when the original acquisition proposal came through.””

Marcus had returned to the doorway and overheard the last part of the conversation.

“Marcus: If Richard was involved, that explains how Daniel knew about the foundation's loan.””

Ethan turned toward him.

“Ethan: You said Daniel approached you with an investment proposal. Did he ever mention Richard?””

Marcus nodded slowly.

“He said the investors had an adviser who understood the Carter family's long-term financial arrangements. I assumed he meant one of the lawyers.””

Olivia shook her head.

“Olivia: Richard had access to those arrangements. He knew which contracts were tied together and which disclosures could trigger a review.””

Ethan felt anger rising beneath his controlled expression.

“Ethan: Why would my uncle want to take control of my company?””

Olivia paused.

“Olivia: Because your father left you controlling ownership, but he also left Richard a substantial financial interest in the original family partnership. If the company were restructured under certain conditions, Richard could gain additional voting rights.””

“Ethan: That arrangement was amended years ago.””

“Olivia: It was amended. But the original donor option may have given him a way to challenge the amendment.””

Marcus stepped closer.

“Marcus: Daniel wouldn't have needed to persuade every investor if Richard could create the financial pressure from inside the foundation.””

Ethan looked at Vanessa.

“Ethan: Did you know Richard?””

Vanessa shook her head.

“Vanessa: I met him twice at charity events. Daniel told me he was one of the people who could approve the acquisition.””

“Ethan: Did you communicate with him directly?””

“No.””

“Ethan: Are you certain?””

She hesitated.

“I received one email from an account using his name. Daniel told me it was part of the investment process.””

Ethan held out his hand.

“Ethan: Show me.””

Vanessa took her phone from the small handbag resting beside her chair. Her fingers trembled as she searched through the messages.

“Vanessa: I deleted most of the conversation.””

“Ethan: Why?””

“Vanessa: Daniel told me the emails were confidential and should not be kept on my personal device.””

Olivia gave her a sharp look.

“Olivia: Convenient.””

Vanessa's face tightened.

“I know what it sounds like.””

“Olivia: Then help us understand.””

Vanessa continued scrolling.

A few seconds later, she stopped.

“Vanessa: Here.””

She turned the phone toward Ethan.

The email contained only three sentences.

The original arrangement remains valid. Complete the marriage as planned. Once the financial review begins, our position will be protected.

The sender's display name was Richard Carter.

Ethan read it twice.

“Ethan: What did you think this meant?””

Vanessa looked down.

“I thought Daniel wanted me to marry you before the acquisition was announced. He said the marriage would make the investors more comfortable because it would show the family was united.””

“Ethan: And you believed him?””

“I wanted to believe him.””

Ethan handed the phone to Olivia.

“Ethan: Preserve the message. Send it to counsel.””

Olivia nodded.

“Olivia: We need to verify the sender's address and the email headers before treating it as authentic.””

Marcus looked toward the ballroom.

“Marcus: If Richard was involved, he may still be inside the venue.””

Ethan checked his watch.

“Ethan: The coordinator said he left twenty minutes ago.””

“Marcus: Then we need to find out where he went.””

“No,” Olivia replied.

“We need to do this properly. If we confront him without preserving the records, he'll know what we're investigating and have time to cover his tracks.””

Ethan reluctantly nodded.

“Ethan: Contact the company's independent counsel. Ask them to secure the financial systems, freeze any disputed transactions where legally permitted, and preserve the audit logs. Nobody makes changes without documented authorization.””

Olivia began making calls.

Marcus stood quietly near the door, his expression heavy with shame.

Ethan looked at him.

“Ethan: Why are you still here?””

Marcus accepted the question without protest.

“Marcus: Because I helped Daniel, even if I didn't understand everything he was doing. I need to make sure the investigation has every document I signed.””

“Ethan: Then cooperate fully.””

“I will.””

“Ethan: And don't expect our friendship to be repaired because you finally decided to tell the truth.””

Marcus's eyes reddened.

“I don't.””

He left the lounge.

Vanessa remained seated, staring at her phone.

Ethan looked at her.

“Ethan: There's something I still don't understand.””

She lifted her head.

“Ethan: Why did you agree to marry me if you knew Richard and Daniel were trying to acquire the company?””

Vanessa drew a shaky breath.

“Vanessa: Because Daniel told me the acquisition would fail unless I helped establish that you had approved the transaction. He said the marriage would give him access to you and make the investors believe I could influence your decisions.””

“Ethan: So you intended to use our marriage to obtain information.””

“At first, yes.””

The admission was almost inaudible.

Ethan looked away.

“Vanessa: But it changed. I really did fall in love with you.””

“Ethan: And the six-month divorce plan?””

She covered her face.

“I was scared that if the acquisition failed, Daniel would expose my old contract and make me responsible for everything. I thought if I left you after six months, I could escape before the investigation reached me.””

Ethan's voice was flat.

“Ethan: You planned to leave me before you even became my wife.””

“Yes.””

“Ethan: Did you ever intend to tell me?””

Vanessa shook her head.

“No.””

The honesty was brutal.

She wiped her eyes.

“Vanessa: I know you hate me.””

“Ethan: I don't need to hate you to understand what you did.””

He looked toward the white roses scattered outside the lounge.

“Ethan: I loved you enough to believe you without asking questions. You used that trust because it made your plan easier.””

Vanessa stood slowly.

“Vanessa: Is there anything I could say that would make you believe I loved you?””

Ethan considered the question.

Then he shook his head.

“Ethan: Not today.””

She nodded, accepting the answer with a kind of exhausted resignation.

For a moment, neither spoke.

Then Olivia returned from the hallway, her phone pressed to her ear.

“Olivia: Yes, preserve the original records. No, don't contact Richard yet. Send the preliminary findings to counsel immediately.””

She ended the call and looked at Ethan.

“Olivia: There's another problem.””

Ethan braced himself.

“Ethan: What now?””

“The independent trustee has reviewed the donor agreement. The repayment clause may be enforceable, but only if the original donor can establish that the foundation breached the disclosure requirements.””

“Ethan: And if they do?””

“The donor could demand immediate repayment of the outstanding loan. That would put pressure on the foundation and potentially force a restructuring of its relationship with the company.””

Ethan stared at her.

“Ethan: Exactly what Daniel wanted.””

Olivia nodded.

“Olivia: We need to establish whether the clause was deliberately left unresolved.””

Before Ethan could answer, his phone rang.

The caller was the company's general counsel.

Ethan answered.

“Ethan: Tell me you have something useful.””

“Counsel: We recovered a copy of the original acquisition file from the company's document archive. It includes the draft agreement, the authorization records, and a side letter that wasn't included in the copies you provided.””

“Ethan: What does the side letter say?””

“Counsel: It appears to establish a contingency payment if the acquisition failed because of a family dispute or a marital conflict.””

Ethan glanced at Vanessa.

“Ethan: Who was supposed to receive the payment?””

The attorney paused.

“Counsel: We haven't confirmed the beneficiary yet. But the signature on the side letter appears to belong to Richard Carter.””

Olivia stepped closer.

“Olivia: Ask whether the document was executed.””

Ethan repeated the question.

The attorney replied, “The archive contains a signed copy. We're verifying its authenticity now.””

Ethan felt his pulse quicken.

“Ethan: Send it to me immediately.””

His phone vibrated a few seconds later.

A scanned page appeared.

The heading read:

*CONTINGENCY AND SETTLEMENT AGREEMENT.*

Ethan read the first paragraph, then the second.

The arrangement would pay a substantial fee to a designated intermediary if the proposed acquisition collapsed under circumstances that prevented the investors from completing the purchase.

He scrolled to the final page.

The beneficiary's name was clearly printed.

*Vanessa Brooks.*

She stared at the screen, horrified.

“Vanessa: I never signed that.””

Ethan looked up.

“Ethan: You expect me to believe that?””

“I swear I never saw it.””

Olivia took the phone and enlarged the signature.

The name at the bottom looked like Vanessa's, but the final stroke was unusually sharp.

“Olivia: We need a handwriting examination and the original file. A scan isn't enough to establish who signed it.””

Ethan nodded.

Then he noticed the date.

The side letter had been executed three weeks before the wedding.

Someone had planned for the acquisition to fail before Ethan even heard the warning.

His phone rang again.

This time, the caller ID showed an unknown number.

He answered without speaking.

A man's voice came through, calm and unmistakable.

“Richard: Ethan, I hear your wedding has taken an unfortunate turn.””

Ethan's jaw tightened.

“Ethan: Where are you?””

“Richard: Somewhere private. I thought it would be best to speak before you make a decision you can't reverse.””

“Ethan: You can start by explaining the agreement with Vanessa.””

Richard chuckled.

“Richard: My boy, that document isn't what you think it is.””

“Ethan: Then tell me what it is.””

A pause.

“Richard: It's proof that Vanessa was never the person Daniel intended to use to take your company.””

Ethan glanced at Olivia.

“Ethan: Who was?””

Richard's answer came softly.

“Richard: Your father made a promise before he died, Ethan. And the person who was supposed to inherit the company wasn't you.””

The call disconnected.

Ethan stood frozen, the phone pressed against his ear.

Olivia slowly lowered herself into a chair.

“Olivia: What did he mean?””

Ethan stared at the blank screen.

Then he looked at the original family partnership agreement lying open on the table.

For the first time, he noticed a clause on the final page that he had never seen before.

A clause bearing his father's signature.

May you like

And a name that had been deliberately crossed out.

*Richard Carter.*
